第四条代理权限

甲方按照本合同订立时执行的手续费标准向乙方支付代理手续费;

本合同有效期内，甲方要对现行的代理手续费标准进行变更时，应征得乙方或乙方推选的集体代表同意，并就协议一致的手续费标准订立集体合同，对乙方具有约束力。

本合同有效期内，甲方因国家法律、法规、政策的原因。需要调整手续费标准的，如调整后的标准是符合国家法律、法规、政策允许的最高限额的，可直接与乙方或乙方推选的代表订立新的关于手续费支付标准的集体合同，并对乙方具有约束力。如乙方不能认可国家法律、法规、政策规定的手续费标准，则本委托代理合同终止。

甲方支付乙方手续费的依据是乙方于上月15日以后(含15日)至本月15日代理的至本月25日仍有效的代理权限内的保险费收入。

甲方于每月30日前在代为扣除乙方应付税款后支付乙方当期手续费收人。延期支付的，甲方应支付利息。

第八条保证与担保

乙方应提供两个甲方认为具有保证人资格的自然人作为乙方履行本合同的保证人，并与甲方签订《担保合同》;

乙方应同提交单证、票据保证金人民币_____________元。

第九条专属代理

乙方不得代理其他保险公司的保险业务，也不得帮助其他保险公司及其代理人与甲方竞争。

乙方不得兼职从事其他职业。

第十条其他权利与义务

第十一条合同的变更

本合同条款可以进行变更。

甲方应与乙方或乙方推选的代表就合同变更事宜进行协商，达成一致意见后对本合同进行变更。

甲方与乙方个人协商对合同进行的变更，应订立补充合同;甲方与乙方推选的代表协商，对本合同所作的变更，对乙方所有成员有效，不能同意变更后事项的乙方个别成员，作解除合同处理。

关于合同的变更，本合同另有约定的除外。

第十二条合同的终止

本合同可因下列原因终止：

1.因本合同期限届满，甲方决定不再续延本合同;

2.甲方发生分立或合并，分立或合并后新的组织没有承诺本合同继续有效并承担本合同甲方权利义务的;

3.乙方辞去委托或者甲方撤销委托。乙方辞去委托时，不必取得甲方同意，但必须提前日通知甲方，如因辞去委托使甲方受到损失，乙方应负赔偿损失的责任;甲方撤销委托时，不必取得乙方的同意，但应支付乙方已代理业务的手续费。如因撤销委托使受托人受到损失，甲方应负赔偿损失的责任。

本合同终止时，甲方有权收回乙方持有的属于甲方的单证、票据、业务资料、客户资料以及其他物品;

本合同终止时，甲方有权要求乙方偿还甲方为乙方支付的培训费，合同另有约定的除外。

本合同终止时，甲方应收回《展业证书》，退还乙方《保险代理人资格证书》，并在乙方归还甲方的单证、票据、业务资料、客户资料以及其他物品后，退还乙方保证金，如上述单证、资料、物品有缺失、毁损，应相应扣减保证金，并将保证金余额退还乙方;如保证金不足以补偿以上损失的，可以在应支付乙方的手续费中扣除不足部分。

第十三条违约责任

乙方应对在代理过程因本人过错导致的第三人的损失承担赔偿责任;因乙方在代理过程因过错导致的第三人的损失，甲方承担赔偿责任的，甲方履行赔偿责任后，有向乙方追偿的权利。

甲乙双方因过错给对方造成的损失，均应承担赔偿责任。

本合同解除后，并不排除乙方在本合同有效期间因过错行为应承担的赔偿责任。

第十四条争议处理

本合同履行过程中，双方如发生争议可协商解决。协商不成，可依法调解、仲裁或提出诉讼。

第十五条附则

乙方同意甲方制订关于代理手续费的规定和有关寿险代理员管理的办法作为本合同的附件，附件修订时，与甲方签订集体合同，并对乙方具有约束力。

乙方提供的担保人与甲方签订的担保合同，为本合同的附合同，本合同终止后，对乙方在本合同有效期间的行为的保证责任不当然解除。

第一条代理协议的订立：

(一)乙方代理甲方出口的货物的状况：

第三条违约责任：

(一)甲方必须严格执行本协议：

因甲方未按协议规定履行义务，导致出口合同不能履行、不能完全履行、迟延履行或履行不符合约定条件的，委托方应偿付代理方为其垫付的费用、税金及利息，支付约定的代理费，并承担乙方因此对外承担的一切责任。

当外商提出索赔时，乙方应及时向甲方转交外商提供的索赔证件，甲方接到索赔证件后，应根据出口合同和代理协议及时理赔。

乙方应向甲方及时通报对外理赔情况。

如外商因索赔提出仲裁或诉讼时，乙方应按出口合同和代理协议的规定及时应诉，积极办理对外交涉，并及时将进程和结果通报甲方。

甲方有义务协助乙搜集证据，并最终承担诉讼或仲裁结果和承担由此而发生的一切费用。

(二)乙方必须严格执行本协议：

因乙方未按协议规定履行义务，导致出口合同不能履行、不能完全履行、迟延履行或履行不符合约定条件的，乙方应赔偿甲方因此受到直接经济损失，但不包括预期利润。

(三)因外商原因导致外销合同延迟履行、不完全履行或不能履行时，使乙方不能履行本代理协议的，乙方不承担责任。

但在甲方书面提出要求并提供费用及协助下，

乙方有义务向外商交涉索赔，但所产生的费用由甲方承担。

第四条不可抗力甲方或乙方因不可抗力事件，不能履行全部或部分代理协议的，免除相互间的全部或部分责任，但双方应在得知不可抗力事件发生之日起______日内通知对方，并提供有关机构出具的证明，以便乙方与外商交涉，免除乙方对外商的责任。

第五条争议解决：若产生争议，双方需友好协商，达成补充协议。

若协商不成，任何一方可向代理人所在地人民法院提起诉讼。
